DEED FOR RETIREMENT OF PARTNER
The DEED OF PARTNERSHIP executed on 20th day of September,2013 between three partners as under:-
1. Santosh Kumar S/O Sh Gulaba Ram age 31 years R/O Village Gor Ghulanu, PO Nabahi, Tehsil Sarkaghat, Distt. Mandi (HP)-175024. ………First Partner
2. Sunil Sharma S/O Sh. Kailash Kumar age 37 years R/O Poonam Niwas, Vijay Nagar, Totu, Shimla 170011. ……..Second Partner
3. Dr. Vimal Pankaj S/O Sh. Mehar Chand. Age 30 years R/O Village Upper Barot, PO Fatehpur , Tehsil Sarkaghat, Distt. Mandi (HP)-175024.……..Third Partner
Whereas the abovementioned partners named mutually by consent resolved to enter into and from Partnership concern/business of Marketing of the pharma company, Running of a Medical Clinic and Running of a Medical Store.
Now such DEED witnessed as under:-
1. The parties hereto shall at present constitute and become partners of the firm subject to the term hereunder contains subject to such modification in its constitution or object clause as may here and after be agreed specifically.
2. The name of the firm shall at present be ‘VARDAAN’ and the object of the partnership shall of marketing of the pharma company, running of medical clinic and running of a medical store. The partner shall enter into engagement on behalf of the firm in the firm’s name only.
3. The head office of the firm shall be at ARKI, Tehsil Arki Distt Solan (HP). The business of the partnership will be carried on at Arki or at such other place or places as the partners shall from determine time to time.
NOW THIS DEED WITNESSES AS UNDER :-
1. That the Third Partner is herby retired and w.e.f. 30th day of November, 2014.
2. That theThird Partner hereby revoke the earlier Partnership Deed dated 30TH day of November,2014 with immediate effect . after retirement of Third Partner he is not responsible for any act of the Firm and after this date he shall not binding on the acts and transitions of the Firm. Anybody dealing with third partner after this date in respect of aforesaid act covered under Partnership Deed shall do at his/her own risk as the Third Partner will not responsible for any transition.
3. That the Third Partner has not withdraw his share of Capital invested and entitled for the repayment of the amount of Capital from the Firm. The Third Partner has under the the Bank loan from UCO Bank of RS. 200000 (Two Lakhs Only) as his share of Capital as individual Loan. The repayment of such loan is made by the Third Partner solemnly and the firm has not made any payment to the Third Partner on his behalf.
4. That the Third Partner entitle for the recovery of said amount in lump-sum/installments/property/assets invested as firm may think fit.
5. Whereas all the liabilities pertaining to the aforesaid partnership from this date 30th day of November 2014 will be of aforesaid reaming partner i.e. Santosh Kumkar and Sunil Sharma remaining partners.
6. Wheareas all the remaining partners has their independent and mutual consent and has no objection at the retirement of the Third Partner. And agreed to carry on business with the existing entity and name of the firm.
