THIS POWER OF ATTORNEY is made this 27th DAY OF February 2025, BETWEEN ADYRE ESSENCE LTD, a company registered under the laws of the Federal Republic of Nigeria, of 1, C. J Okpara Close. Off Ada George Road, PortHarcourt, Nigeria (Herein referred to as ‘THE DONOR’) which expression shall wherever the context so admits include their successors-in-title, assigns and receivers of the FIRST PART. In favour of and/or donated to: MR. IDO FIDELIS EGAZI, of 1 Cele 3 Araromi RD Oke Ogbe Oko Afo, Badagry, Lagos State (Hereinafter referred to as “THE DONNEE”) which expression shall wherever the context so admits include its successors-in-title, assigns and receivers of the SECOND PART. WHEREAS: 1. The Donor is the beneficial owner of all that parcel of land measuring in area approximately- Square metres, situate, lying, and being the Plot 4 in ten families of Akai Land, along MCC Road, Calabar Municipal Local Government Area of Cross River State and particularly delineated in survey plan no. ZAP/6573A/07 and thereon shown to be bounded by seven survey pillars-Nos. SC/CR3840A; SC/CRA5179C; SEE8271; CR3839A; SC/CRA9967F; SEE8722 and SC/CRA9968F (The Property). 2. The said Plot 4, situate, lying, and being the Plot 4 in ten families of Akai Land, along MCC Road, Calabar Municipal Local Government Area of Cross River State was acquired by the Donor vide a Deed of Conveyance and transfer of Right of Occupancy dated the 17th day of September 2007 executed by and between the Donor and Rev. Offiong Nsemo and Ushie Offiong Nsemo (MR.), who came into possession by partition/inheritance of family land. 3. The Donor is desirous of passing/transferring his remaining interest in the property to the Donee. 4. The Donee is desirous of accepting the remaining interest of the Donor in the property. 5. This Irrevocable Power of Attorney now evidences the transfer of the entire interest in the property from the Donor to the Donee. NOW THEREFORE, by this Power of Attorney ADYRE ESSENCE LTD do hereby appoint MR. IDO FIDELIS EGAZI as our true and lawful Attorney, and in our name and on our behalf, to do and execute any or all acts and things following, namely: 1. To sell, convey, or transfer my interest in the property. 2. Execute deeds, mortgages or other instruments related to the property. 3. Manage and collect rents or income from the property. 4. Pay expenses and liabilities related to the property. 5. Make decisions regarding property maintenance and repairs. 6. Mortgage or encumber the property without my prior written consent. 7. Make gifts or transfers of my interest in the property. 8. Use my interest in the property for personal benefit. 9. Specifically, to do any act, matter or thing which the Attorney shall consider necessary or expedient toward the realization of the purpose or act herein before deemed authorized in the same manner and fully effectually in all respect as THE DONOR could have done if physically required or present. IT IS ALSO DECLARED that the Attorney may do all that is incidental to the power already listed. 3.We HEREBY DECLARE that this Power of Attorney is IRREVOCABLE and we undertake at all times to ratify and confirm (if any, when necessary) all and sundry the lawful acts of the ATTORNEY, executed by him by virtue of this POWER OF ATTORNEY. 1.
