THIS DEED OF ASSIGNMENT is made this ________ day of ______________ 2025
BETWEEN
ADYRE ESSENCE LTD, a company registered under the laws of the Federal Republic of Nigeria, of 1, C. J Okpara Close. Off Ada George Road, Port- Harcourt, Nigeria (Herein referred to as ‘The ASSIGNOR’) which expression shall wherever the context so admits include their successors-in-title, assigns and receivers of the FIRST PART.
AND
MR. IDO FIDELIS EGHAZI, of 1 Cele 3 Araromi RD Oke Ogbe Oko Afo, Badagry, Lagos State (Hereinafter referred to as “THE ASSIGNEE”) which expression shall wherever the context so admits include its successors-in-title, assigns and receivers of the SECOND PART.
WHEREAS:
1. The Assignor is the beneficial owner of all that parcel of land measuring in area approximately- Square metres, situate, lying, and being at Plot 4 in ten families of Akai Land, along MCC Road, Calabar Municipal Local Government Area of Cross River State and particularly delineated in survey plan no. ZAP/6573A/07 and thereon shown to be bounded by seven survey pillars-Nos. SC/CR3840A; SC/CRA5179C; SEE8271; CR3839A; SC/CRA9967F; SEE8722 and SC/CRA9968F herein referred to as (The Property)
2. The said Plot 4, situate, lying, and being the Plot 4 in ten families of Akai Land, along MCC Road, Calabar Municipal Local Government Area of Cross River State was acquired by the Assignor vide a Deed of Conveyance and transfer of Right of Occupancy dated the 17th day of September 2007 executed by and between the Assignor and Rev. Offiong Nsemo and Ushie Offiong Nsemo (MR.), who came into possession by partition/inheritance of family land.
3. The Assignor is now desirous of assigning her unexpired interest in the property and the Assignor has agreed to this assignment for a valuable consideration to transfer their interest, rights, estate and title in the said property to the Assignee free from any encumbrances whatsoever as witnessed by this Deed and the terms and conditions hereinafter contained.
4. By virtue of the Land Use Act the Assignee continues to hold and enjoy the Demised Property with the intent that it shall be held and enjoyed in accordance with the Act.
5. Parties now wish to be governed by the terms of this Deed.
NOW THIS DEED WITNESSES AS FOLLOWS:
In consideration of the sum of N20,000,000.k (Twenty Million Naira) only, paid by the Assignee to the Assignor, (the receipt of which the Assignor HEREBY acknowledges), the Assignor as the beneficial owner hereby ASSIGN unto the Assignee all that parcel of land measuring in area approximately- Square metres, situate, lying, and being the Plot 4 in ten families of Akai Land, along MCC Road, Calabar Municipal Local Government Area of Cross River State which is more particularly described and delineated in PERIMETER SURVEY OF PLOT NO.ZAP/6573A/07 attached to schedule A of this agreement, (hereinafter referred to as the “Assigned Property”), TO HOLD UNTO the Assignees for the residue of his unexhausted interest, free from all customary and statutory encumbrances, in freehold interest, free from all encumbrances and discharged from all incidents of customary and statutory tenure.
THE PARTIES HEREBY AGREE as follows:
a. That the Assignor have the full power and rights to assign the property hereby assigned.
b. The Assignor covenants that the property hereby transferred will be quietly enjoyed by the Assignees or their personal representatives without any interruption from the Assignor or any person(s) claiming through the Assignor.
c. The Assignor shall at all material times indemnify the Assignee against any claims, cost, actions demand, charges and losses consequent upon any adverse claim(s) to title in respect of this property hereby demised.
d. The Assignor hereby give consent to the Assignees to sublet, mortgage, lease and/or reassign her interest in the property herein.
e. That the Assignor and every other person having interest in the subject matter of this Assignment will on the request and at the cost of the Assignee or any person deriving title through the Assignee execute or do all such acts as will enable the Assignees to register their documents or deeds to this Assigned Property pursuant to any statutory duty in that behalf.
f. That the Assignor shall indemnify, save and harmlessly keep the Assignees from and against all claims, actions, proceedings, losses, damages, liabilities, costs, expenses and/or things whatsoever or howsoever arising out of, or in respect of this Assignment or resulting from lack of title or any defect in title on the part of the Assignor.
g. The Assignor undertakes further to execute and make available all such further transfer documents as the Assignee may require or as may be necessary under any relevant law or rule, or as may be required by any relevant authority or body including but not limited to the execution of transfer forms and provisions of a tax clearance certificate.
h. for the perfection or registration of the Assignee’s interest in the Demised Property and keep the Assignee fully indemnified in case of any default in the title of the Assignor.
i. The Assignee covenants to, at their own expense, comply with all applicable statutes, rules and regulations as may be communicated to them by any duly constituted government authority with the constitutional powers to make such laws, rules and regulations in respect of the land.
j. The Parties covenant with each other that the invalidity or illegality of any provision in this Agreement shall not affect the validity or legality of the other provisions of this Agreement which shall remain in full force and effect while the invalid or illegal provision is severed from this Agreement.
k. The Parties agree that this Agreement and the rights of Parties hereunder shall be governed by and construed in accordance with the Nigerian Law.
SCHEDULE A
1. Survey plan with plan of plot NO. ZAP/6573A/07 dated the 12 December 2007 and revalidated on 10th November 2009.
SCHEDULE B
1. Deed of conveyance and transfer of Right of Occupancy dated 17th December 2007.
IN WITNESS WHEREOF the Parties hereto have hereunto set their hands and seals the day and year first above written.

ADYRE ESSENCE LTD HAS CAUSED ITS COMMON SEAL TO BE AFFIXED TO THIS CONTRACT OF SALE BELOW THE DATE AND YEAR FIRST WRITTEN ABOVE.
