CONTRATO DE SERVIÇOS DE MONTAGEM DE RODEIROS WHEELSET MOUNTING SERVICES AGREEMENT ESTE ACORDO feito neste dia ___ de ______ de 2013 ("Data de Vigência"), por e entre (a) EMPRESA A, sociedade devidamente organizada e existente sob as leis do Brasil, com sua sede na cidade ENDEREÇO DA EMPRESA A, inscrita no CNPJ/MF sob o nº ("EMPRESA A"), e (b) EMPRESA B, sociedade devidamente organizada e existente sob as leis do Brasil, com sua sede no ENDEREÇO DA EMPRESA B, inscrita no Cadastro Nacional de Pessoas Jurídicas (CNPJ) sob o n º ("EMPRESA B "). THIS AGREEMENT made this ___ day of ______, 2013 (“Effective Date”) by and between (a) COMPANY A., a company duly organized and existing under the laws of Brazil, with its principal office in the city COMPANY A ADDRESS enrolled with the CNPJ/MF under No. (“COMPANY A”); and (b) COMPANY B., a company duly organized and existing under the laws of Brazil, with its head offices in the COMPANY B ADDRESS , enrolled with the Brazilian Taxpayers’ Register (CNPJ) under No. (“COMPANY B”). PREÂMBULO CONSIDERANDO que a EMPRESA A esteja com necessidade de um novo Rodeiro para o seu negócio como fabricante de vagões para o uso em vagões recém-construídos, em vagões remanufaturados e no mercado de consertos, e a EMPRESA A deseje garantir um nível consistente de fornecimento desses Rodeiros a preços favoráveis, minimizando os níveis de inventário da EMPRESA A; e RECITALS WHEREAS, COMPANY A is in need of new railroad wheels sets (“Wheelsets”) for its business as a railcar manufacturer for use on newly built rail cars, on remanufactured cars and repair market, and COMPANY A desires to assure itself of a consistent level of supply of such Wheelsets at favorable prices while minimizing COMPANY A’s inventory levels; and CONSIDERANDO que a EMPRESA B possui e opera em instalações nas quais são fabricados e vendidos novos Rodeiros e ela é fabricante de componentes utilizados em tais operações e deseja assegurar-se da estabilidade a longo prazo do fornecimento de seus produtos, e facilitar um planejamento de produção eficiente para suas instalações; e WHEREAS, COMPANY B owns and operates facilities which manufacture and sell new railroad Wheelsets and is a manufacturer of Components used in this operation and desires to assure itself of longer term stability for the supply of its products, and to facilitate efficient production planning for such facilities; and CONSIDERANDO que a EMPRESA B e suas afiliadas tenham ou possam ter relações com os fornecedores de alguns componentes utilizados nos Rodeiros, tais como WHEREAS, COMPANY B and its affiliates have or may have relationships with suppliers of certain Components used in Wheelsets, such as Wheels, Axles and Bearings, which -1- Rodas, Eixos e Rolamentos, que permitem com que a EMPRESA B possa organizar o fornecimento de tais Rodeiros para a EMPRESA A, como parte dos sistemas a serem fornecidos nos termos deste Contrato; e enable COMPANY B to arrange for the supply of such Wheelsets to COMPANY A as part of the Systems to be provided hereunder; and CONSIDERANDO que a EMPRESA A e a EMPRESA B firmaram um Contrato de Compra de Ativos no qual a EMPRESA B adquiriu os ativos e o estoque da EMPRESA A, previamente utilizados no serviço de montagem interno de Rodeiros da EMPRESA A, e a EMPRESA A deseja que a EMPRESA B assuma este serviço de montagem de Rodeiros que antes era realizado internamente; e WHEREAS, COMPANY A and COMPANY B have entered into an Asset Purchase Agreement, whereby COMPANY B has purchased COMPANY A’s assets and inventory previously utilized in COMPANY A’s internal Wheelset mounting business, and COMPANY A desires to have COMPANY B assume these wheelset mounting services which had previously been performed internally; and CONSIDERANDO que a EMPRESA A e a EMPRESA B ambas possuem o desejo geral de melhorar a sua relação de trabalho a longo prazo através de uma maior cooperação e do aumento dos níveis de negócios; e WHEREAS, COMPANY A and COMPANY B in general desire to enhance their long-term working relationship through closer cooperation and increased levels of business; and CONSIDERANDO que, para promover esses objetivos, as partes desejam criar e executar este Contrato de Fornecimento. WHEREAS, to further these goals the parties desire to create and execute this Supply Agreement. PORTANTO, em consideração às cláusulas e condições que aqui constam, ambas as partes concordam com o que se segue: NOW, THEREFORE, in consideration of the mutual covenants and conditions herein, the parties agree as follows: ARTIGO I DAS DEFINIÇÕES ARTICLE I DEFINITIONS 1.1. Além dos termos definidos neste documento, quando usados neste Contrato ou nas exposições a este Contrato, em letras iniciais maiúsculas, no singular ou no plural, conforme o caso, os seguintes termos e expressões terão os significados atribuídos a eles nesta Seção 1.1. Qualquer referência a uma Seção deve 1.1. In addition to the terms defined elsewhere herein, when used in this Agreement or in the exhibits to this Agreement, in capitalized initial letters, in the singular or plural, as the case may be, the following terms and expressions shall have the meanings assigned to them in this Section 1.1. Any reference to a Section shall include any and all of the Subsections thereof. -2- incluir toda e qualquer uma das seguintes Subseções. "Contrato" significa Contrato de Fornecimento. este “Agreement” shall mean this Supply Agreement. "EMPRESA A" terá o significado estabelecido no preâmbulo deste Contrato. “COMPANY A” shall have the meaning set forth in the preamble to this Agreement. "EMPRESA B" terá significado estabelecido preâmbulo deste Contrato. o no “COMPANY B” shall have the meaning set forth in the preamble to this Agreement. "CCBC" terá o significado estabelecido na Cláusula 9.3. “CCBC” shall have meaning set forth in Section 9.3. the "Mudança de Controle" da EMPRESA A significa a EMPRESA B e suas afiliadas juntas deixando de possuir ou controlar pelo menos de 50% das quotas em circulação da EMPRESA A. “Change in Control” of COMPANY A means COMPANY B and its affiliates together ceasing to own or control at least 50% of the outstanding quotas of COMPANY A. "Componentes" significam os produtos individuais que compõem os elementos de um Rodeiro incluindo, mas não se limitado a Rodas, Eixos e Rolamentos, assim como qualquer outro elemento que faça parte da composição do material de um Rodeiro. “Components” shall mean the individual products comprising the elements of a Wheelset, including but not limited to wheels, bearings, axles, and any other element which composes the material composition of a Wheelset. "Informações Confidenciais" significam e serão consideradas para incluir, mas não se limitando a toda e qualquer informação relacionada a este Contrato e as suas disposições, bem como as partes envolvidas e os produtos de seus afiliados, sua estratégia de negócios, projetos, serviços, planos, capacidades ou assuntos de negócios, que são de natureza confidencial ou de propriedade, incluindo, mas não se limitado a conceitos, métodos, técnicas, “Confidential Information” shall mean and shall be deemed to include, but not be limited to, any and all information relating to this Agreements and its provisions, as well as Parties’s or its affiliates’ products, business strategies, designs, services, plans, capabilities or business affairs which is of a proprietary or confidential nature, including but not limited to concepts, methods, techniques, drawings, algorithms, computer programs, -3-
