THE REPUBLIC OF UGANDA IN THE MATTER OF THE CONTRACT ACT, 2010 AND IN THE MATTER OF MOTOR VEHICLE REGISTRATION NO. UAV 955C AND IN THE MATTER OF VEHICLE REGISTRATION NO. UAZ 655X CAR SALE AGREEMENT THIS AGREEMENT is made this 7th day of January, 2019; BETWEEN MS. Mpaata Garages Limited of P.O.BOx 7117, Ndeeba Road, Mengo, Kampala Tel:................, (hereinafter referred to as “the Vendor” which expression shall where the context admits include its successors, assignees, and representatives or agents) of the first part. AND Kapere Musa of P. O Box 12, Kampala Tel. No: ………………(hereinafter referred to as “the buyer” which expression shall where the context admits include his successors, assignees and representatives or agents) of the other part. WHEREAS MS. Mpaata Garages Limited is the vendor of Motor Vehicle Registration No. UAV 955C, Engine No. ________________, Chassis No. __________________ Toyota Town ACE, White in colour, and Motor Vehicle Registration No. UAZ 655X, Engine No.__________, Chassis No._______ Prado TX, Grey in Colour (hereinafter “the 1st and 2nd Motor Vehicles”) and is desirous of selling them to ………………….. (buyer). AND WHEREAS the buyer is willing and has agreed to buy the said Motor Vehicles on the terms and conditions appearing here below:- Page 1 of 4 Drafted By: Munyangoga Bonaventure (Lawyer) Email:- NOW THIS AGREEMENT WITNESSETH as follows:1. PURCHASE PRICE: a) The purchase price of the 1st Motor Vehicle is the sum of Ushs.15,000,000/= (Uganda Shillings Fifteen Million Shillings Only) shall be payable only in two instalments as agreed by the parties to the contract, broken down as follows; i. Ushs.10,500,000/= (Uganda Shillings Ten Million Five Hundred Thousand Shillings only) payable on this day of making the Contract b) The vendor shall allow the buyer to take possession of that vehicle ii. Ushs.4, 500,000/= (Uganda Shillings Four Million Five Hundred Thousand Shillings Only) shall be paid on the 31st day of January, 2019 by the buyer. c) Ownership of the vehicle shall only then pass onto the Buyer once the full purchase price have been paid. d) The purchase price of the 2nd Motor Vehicle is the sum of Ushs.25,000,000/= (Uganda Shillings Twenty Five Million Shillings Only) shall be payable only in three instalments as agreed by the parties to the contract, broken down as follows; i. Ushs-/= (Uganda Shillings Ten Million Shillings Only) payable on this date of making the agreement; e) The vehicle shall remain with the Vendor. ii. Ushs-/= (Uganda Shillings Ten Million Shillings Only) payable on 4th day of February, 2019; and f) The Buyer shall take possession, but ownership remains with Vendor. iii. Ushs-/= (Uganda Shillings Five Million Only) payable on 15th day of February, 2019. g) Ownership shall pass to the Buyer. 2. POSSESSION AND TRANSFER OF RISK: The Risk passes to the Buyer once the Buyer or his/her agent receives the keys to the car or takes possession of the vehicle. 3. TRANSFER OF OWNERSHIP AND COSTS: The Parties agree to sign all documents necessary to transfer ownership of the vehicle from the Vendor onto the name of the Buyer within 7 (SEVEN) days of paying the full purchase price Page 2 of 4 Drafted By: Munyangoga Bonaventure (Lawyer) Email:- 4. OWNERSHIP: The Vendor guarantees that it is the true and lawful owner of the abovedescribed vehicles and that they are free of all encumbrances and any and all legal claims. 5. WARRANTY: The Vendor warrants that at the date of signature of this agreement there are no outstanding Government fees or taxes or other penalties outstanding against the registration of the vehicles sold in terms of this agreement. 6. NO WARRANTIES OR GUARANTEES: The Vendor or its agent gives no warranty or guarantee other than those specified in 4 and 5. 7. DISCLAIMER: The vehicle is sold "As-Is" and the seller shall not be liable for any defects, patent, latent or otherwise. The Buyer admits having inspected the vehicle to his/her satisfaction and that no guarantees or warranties of any nature were expressed or implied by the Seller or his/her agent regarding its condition or quality. 8. HOLDING DEPOSIT: The Parties agree that the Holding Deposit is non-refundable. They further agree that should the balance of the Purchase price not be paid by the date as in this agreement, the Buyer will have no further claims to the vehicle described above and the Vendor is relieved of all obligations in respect of this agreement. 9. LEGAL AGE: The Buyer is of legal age and legally competent to enter into this agreement. 10.
