DEED OF SHARE TRANSFER THIS DEED OF SHARE TRANSFER is made this ____ day of _________ 2014 between AHMED YESUFU of Plot 1020, Gimbiya Street, Area 11, Garki, Abuja (hereinafter called “the Transferor”, which expression shall where the context so admits, include his assigns, agents and successors-in –title) and BRUCE AYONOTE of No. 4, Banta Close, off Agadez Street, Wuse II, Abuja (hereinafter called “the Transferee” which expression shall where the context so admits, include his assigns, agents and successors-in –title) WHEREAS: I. The transferor is the owner of One Hundred and Fifty Thousand shares in Exchange Telecommunications Limited, a company registered in Nigeria with RC No. 469690. II. The transferor is a shareholder and director in Suburban Investments Limited, a company registered in Nigeria. III. The transferor and the transferee are both shareholders and directors in Suburban Broadband Limited, a company registered in Nigeria with RC No.69689. IV. Suburban Broadband Limited has agreed to transfer to Suburban Investments Limited its title to the portion of Plot 934, Cadastral Zone B04, Jabi, Abuja, measuring approximately 1.085 hectares, covered by Beacon Numbers PB2106 to PB2356 to PB3043 to PB 3040, on the condition that the transferor herein transfers Seventy Five Thousand (75,000) units of his shares in Exchange Telecommunications Limited to the transferee. V. The transferor has therefore agreed to transfer to the transferee Seventy Five Thousand (75,000) units of his shares in Exchange Telecommunications Limited, in consideration of a transfer of the portion of Plot 934, Cadastral Zone B04, Jabi, Abuja, measuring approximately 1.085 hectares, covered by Beacon Numbers PB2106 to PB2356 to PB3043 to PB 3040by Suburban Broadband Limited to Suburban Investments Limited. NOW THIS AGREEMENT WITHNESSETH AS FOLLOWS: 1. In consideration of transfer of the portion of Plot 934, Cadastral Zone B04, Jabi, Abuja, measuring approximately 1.085 hectares, covered by Beacon Numbers PB2106 to PB2356 to PB3043 to PB 3040, by Suburban Broadband to Suburban Investments Limited, the transferor hereby transfers Seventy Five Thousand (75,000) units of his shares in Exchange Telecommunications Limited to the transferee. 2. From the date of this agreement, the transferee shall exercise all rights of ownership and possession hitherto exercised by the transferor, without encumbrance and/or adverse claim. 3. The transferor shall indemnify and hold the transferee harmless against any defect in title, encumbrance or adverse claim.
